Terms and Conditions

IMPORTANT: PLEASE READ THESE TERMS CAREFULLY. BY USING OBELISK, YOU AGREE TO BINDING ARBITRATION AND WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS, AS DESCRIBED IN SECTION 17.
Obelisk is owned and operated by Toadstool Labs LLC ("Toadstool Labs," "we," "us," or "our"), a limited liability company organized under the laws of the State of Oregon, located in Portland, Oregon. These Terms and Conditions ("Terms") govern your use of the Obelisk platform, including our web application at https://obelisk.li, our API, and all related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy.
Defined Terms
Throughout these Terms, the following definitions apply:
- "Scribe" means an autonomous AI agent provisioned and operated through the Platform on dedicated cloud infrastructure.
- "Agent Actions" means any actions taken by a Scribe, including but not limited to executing shell commands, browsing the web, sending emails or SMS messages, making voice calls, accessing APIs, managing files, and performing scheduled tasks.
- "Work Span" means a measured period of active Scribe engagement, used for billing purposes.
- "Organization" means the top-level account entity under which Users, Scribes, API keys, and audit trails are grouped and access-controlled.
- "Credentials" means any authentication tokens, passwords, API keys, or other access credentials that a User provides to Obelisk for use by Scribes.
- "Communications" means any emails, SMS messages, voice calls, or other messages sent or received by Scribes on behalf of a User.
- "User," "you," or "your" means any individual or entity that accesses or uses the Platform.
1. Acceptance of Terms
By accessing or using the Platform, you represent and warrant that you are at least 18 years of age and have the legal capacity and authority to enter into these Terms. If you are using the Platform on behalf of an Organization or other legal entity, you represent that you have the authority to bind that entity to these Terms.
You acknowledge and agree that:
- Scribes are autonomous AI agents that take actions on your behalf, including actions that may have real-world consequences;
- You accept full responsibility for all Agent Actions performed by Scribes operating under your account or Organization;
- You have read and agree to comply with the Acceptable Use Policy set forth in Section 5; and
- These Terms include a binding arbitration provision and class action waiver (Section 17).
We may update these Terms from time to time by posting revised versions on our website. Material changes will be communicated via email or prominent notice on the Platform. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.
2. Notifications and Communications
By providing your email address, you consent to receiving service-related communications, including operational notifications (Scribe status updates, errors, and alerts), account and billing information, security notices, and product updates. You may opt out of non-essential marketing communications using the unsubscribe link provided in our emails.
Scribe-Sent Communications. Communications sent by Scribes (including emails, SMS messages, and voice calls) are sent on your behalf and under your authority, not on behalf of Obelisk. You are solely responsible for the content, recipients, frequency, and legal compliance of all Communications initiated by your Scribes. Obelisk acts solely as a technology provider facilitating such Communications and is not the sender or originator for purposes of any applicable law.
Transactional Messages. Certain service notifications (such as security alerts and billing confirmations) are transactional in nature and cannot be opted out of while your account is active, consistent with applicable requirements under the CAN-SPAM Act.
3. Registration and User Account
You may register via email or a third-party authentication service (e.g., Google). You are responsible for:
- Maintaining the confidentiality of your account credentials and all API keys associated with your account or Organization;
- All activity that occurs under your account or Organization, whether authorized or unauthorized;
- Safeguarding any Credentials you provide to Scribes and ensuring such Credentials are not shared beyond your authorized use; and
- Notifying us immediately at hello@obelisk.li of any unauthorized access to your account.
Organization administrators are responsible for managing member access and permissions within their Organization. We reserve the right to suspend or terminate any account or Organization for violations of these Terms.
4. Platform Description and Scribe Capabilities
Obelisk is a control plane for provisioning, monitoring, and managing autonomous AI agents ("Scribes") on dedicated cloud infrastructure. Through the Platform, Users can deploy Scribes, assign them tasks, and monitor their activity via a web interface or API.
Scribe Capabilities. Scribes may perform a range of autonomous actions, including but not limited to:
- Executing shell commands and managing files on their dedicated infrastructure;
- Browsing the web and interacting with web applications;
- Sending and receiving emails and SMS messages;
- Making and receiving voice calls;
- Accessing third-party APIs and services using User-provided Credentials;
- Performing scheduled and recurring tasks; and
- Any other actions within the scope of their available tools and plugins.
AI Disclosure. Scribes are powered by large language models and operate autonomously within the scope of their assigned tasks. You acknowledge and agree that:
- Scribes may take unanticipated actions within the scope of their assigned tasks;
- All Scribe outputs are AI-generated and may contain errors, inaccuracies, or hallucinations;
- Scribe behavior is probabilistic, not deterministic — identical inputs may produce different outputs; and
- Obelisk does not guarantee that Scribes will correctly interpret instructions or produce desired results.
5. Acceptable Use Policy
Permitted Uses. You may use the Platform and Scribes for lawful business automation, authorized research, consensual communications, and other lawful purposes consistent with these Terms.
Prohibited Uses. You agree not to use, or permit Scribes to be used for, any of the following:
- Unauthorized access to computer systems, networks, or data in violation of the Computer Fraud and Abuse Act (CFAA) or analogous state laws;
- Sending unsolicited bulk or commercial email in violation of the CAN-SPAM Act, or unsolicited text messages or calls in violation of the Telephone Consumer Protection Act (TCPA);
- Impersonating any person or entity, or misrepresenting your affiliation with any person or entity;
- Generating, distributing, or storing illegal content, including child sexual abuse material, content that facilitates terrorism, or content that violates intellectual property rights;
- Harassment, stalking, threats, or any form of abuse directed at any individual or group;
- Attempting to circumvent, disable, or interfere with the security features of the Platform or any third-party service;
- Cryptocurrency mining, distributed denial-of-service attacks, or using Scribes to attack or disrupt any system;
- Processing regulated data (including data subject to HIPAA, PCI-DSS, or ITAR) without a separate written agreement with Toadstool Labs;
- Making autonomous decisions with material legal, financial, employment, or healthcare consequences without meaningful human oversight; and
- Any other activity that violates applicable law or the rights of any third party.
Communication Compliance. If you use Scribes to send Communications, you are responsible for:
- CAN-SPAM compliance, including accurate sender identification, a valid physical postal address, truthful subject lines, and a functioning opt-out mechanism;
- TCPA compliance, including obtaining prior express consent (or prior express written consent for marketing messages) before sending SMS messages or making calls; and
- Maintaining and honoring opt-out and do-not-contact requests.
Third-Party System Access. By providing Credentials to Scribes for use with third-party systems, you represent and warrant that you are authorized to access those systems and that Scribe use of such Credentials complies with the applicable third-party terms of service. You are solely responsible for any consequences arising from Scribe access to third-party systems.
6. Data Ownership and Customer Responsibility
Your Data. All data you submit to or through the Platform remains your property. Toadstool Labs does not claim ownership over your data.
Scribe-Generated Content. Obelisk does not claim ownership of content generated by Scribes. However, we make no warranty regarding the accuracy, completeness, originality, or fitness for any purpose of Scribe-generated content.
AI Training. Obelisk does not use your data to train AI models. Conversation data is sent to third-party AI providers solely for real-time inference (i.e., to power Scribe reasoning). Such data is subject to the respective AI provider's data usage policies. Our current primary AI provider is Anthropic; see Anthropic's policies for details.
Credential Storage. Credentials provided to Scribes are encrypted using commercially reasonable security measures. You are solely responsible for the Credentials you provide and for revoking access when appropriate.
Audit Logs. The Platform maintains immutable audit logs of Scribe activity. These logs cannot be modified or deleted, including upon request, and are retained as described in our Privacy Policy.
7. Pricing, Payment, and Refunds
Obelisk is priced based on active Scribe work time:
- Rate: $30.00 per hour of active Scribe work time ($0.50 per minute).
- Billing Blocks: Work time is measured in 2-minute billing blocks, rounded up to the nearest block.
- Minimum Charge: $2.50 per Work Span.
- Active Time Only: You are billed only for active Scribe engagement. Idle time (e.g., waiting for your response) is not billed.
- Infrastructure Included: All infrastructure costs (compute, storage, networking) are included in the hourly rate.
Beta Disclaimer. The Platform is currently in beta. Payment processing is not yet active. Pricing is subject to change with 30 days' prior notice. Current usage during the beta period may be provided at no charge at our discretion.
We reserve the right to introduce surcharges for high-cost operations (such as image generation) with advance notice. All purchases, once payment processing is active, are final and non-refundable except in the case of a verified billing error, handled at our discretion.
8. Limitation of Liability
AS IS / AS AVAILABLE. THE PLATFORM AND ALL SCRIBES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.
AI-Specific Disclaimers. Without limiting the foregoing, we specifically disclaim any warranty that:
- Scribes will produce accurate, complete, or reliable outputs;
- Scribe behavior will be deterministic or predictable;
- Scribes will correctly interpret instructions or complete tasks as intended;
- Scribe-generated content will be free from errors, hallucinations, or harmful material; or
- The Platform will operate without interruption, errors, or security vulnerabilities.
Limitation. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOADSTOOL LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:
- Loss or corruption of data;
- Unauthorized access to or alteration of your data or transmissions;
- Unintended, erroneous, or harmful Communications sent by Scribes;
- Financial losses, lost profits, or lost business opportunities;
- Reputational harm resulting from Scribe actions or outputs;
- Failures or outages of third-party services, AI providers, or infrastructure providers;
- Actions taken by Scribes within the scope of User-directed tasks; or
- Indirect, incidental, special, consequential, or punitive damages of any kind.
Aggregate Cap. In no event shall the total aggregate liability of Toadstool Labs LLC for all claims arising out of or related to these Terms or the Platform exceed the greater of (a) the total fees paid by you to Toadstool Labs in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred dollars ($100.00).
Section 230 Notice. To the extent applicable, Obelisk is an interactive computer service provider within the meaning of 47 U.S.C. § 230. Obelisk is not the information content provider of content generated by Scribes or directed by Users. Scribes operate under User direction and control.
Statute of Limitations. Any claim arising from or related to these Terms or the Platform must be brought within one (1) year after the cause of action accrues, or be permanently barred.
9. AI and Autonomous Agent Disclosures
AI Transparency. Scribes are AI-powered software agents, not human beings. Scribe outputs are generated by artificial intelligence and should not be relied upon as professional, legal, medical, or financial advice without independent human review.
Regulatory Framework. Under applicable AI governance frameworks, Obelisk operates as a developer and provider of AI agent infrastructure. Users who deploy Scribes are considered the deployers of the AI system and bear responsibility for compliance with applicable laws governing their use of AI, including:
- Colorado AI Act: If you use Scribes in high-risk contexts (such as employment decisions, financial services, healthcare, insurance, or education), you may be a "deployer" under the Colorado AI Act and are responsible for meeting its transparency, disclosure, and risk management requirements.
- California AI Transparency: Where required by California law, you must disclose that communications are AI-generated.
- FTC Act: You must not use Scribes or Scribe-generated content in a manner that is deceptive or unfair under Section 5 of the FTC Act.
It is your responsibility to understand and comply with all applicable federal, state, and local laws governing the use of AI and automated systems in your jurisdiction and industry.
10. License to Use
We grant you a non-exclusive, non-transferable, revocable, worldwide license to use the Platform, including provisioning and operating Scribes within your applicable usage limits, subject to these Terms. This license does not include the right to sublicense, reverse-engineer, decompile, disassemble, or modify any portion of the Platform or its underlying software.
11. Intellectual Property
All content, features, and functionality of the Platform (including but not limited to software, text, graphics, logos, and trademarks) are the property of Toadstool Labs LLC or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding without prior written consent.
12. Indemnification
You agree to indemnify, defend, and hold harmless Toadstool Labs LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Platform or any Agent Actions performed by your Scribes;
- Any Communications sent by Scribes on your behalf;
- Third-party claims arising from content generated, transmitted, or acted upon by your Scribes;
- Your violation of any applicable law, including CAN-SPAM, TCPA, CFAA, CCPA, or any state AI governance law;
- Credentials you provide to Scribes and any consequences of Scribe use of those Credentials;
- Data breaches or security incidents arising from your account configuration, Credentials, or instructions;
- Violations of the Acceptable Use Policy; and
- Your breach of these Terms or any representation or warranty you make herein.
This indemnification obligation survives the termination of your account and these Terms.
13. Changes to the Service
We may modify, update, or discontinue the Platform or any part thereof (including Scribe capabilities, available tools, plugins, and AI providers) at any time, with or without notice. We will use reasonable efforts to provide advance notice of material changes. Continued use of the Platform after such changes constitutes acceptance of the modified service.
14. Force Majeure
Toadstool Labs LLC shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to: natural disasters, pandemics, government actions, war or terrorism, infrastructure failures, AI provider outages or model deprecations, third-party service disruptions, regulatory changes, and other unforeseen events.
15. Termination
We may suspend or terminate your account or access to the Platform at any time for violation of these Terms or for any other reason at our discretion, with or without notice. You may close your account by contacting us at hello@obelisk.li.
Upon termination:
- All active Scribes associated with your account or Organization will be destroyed and their underlying infrastructure deprovisioned;
- You will have a reasonable period (not to exceed 30 days) to request export of your data, after which it may be permanently deleted;
- Immutable audit logs will be retained in accordance with our Privacy Policy;
- Any outstanding payment obligations survive termination; and
- Sections 6, 8, 9, 11, 12, 17, and 18 survive termination.
16. Beta Program Terms
The Platform is currently offered as a beta service. During the beta period:
- The Platform is provided without any service level agreement (SLA);
- Features, capabilities, pricing, and availability may change without notice;
- We may impose usage limits at our discretion;
- We may terminate beta access for any user at any time, for any reason; and
- Beta use is subject to all other provisions of these Terms.
17. Dispute Resolution and Arbitration
Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Portland, Oregon, before a single arbitrator. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY CLAIMS SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Exceptions. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.
18. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions. For any disputes not subject to arbitration, you consent to the exclusive personal jurisdiction of the state and federal courts located in Multnomah County, Oregon.
19. Integration, Severability, and Waiver
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Toadstool Labs LLC regarding the Platform. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The failure of Toadstool Labs to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
20. Final Provisions
Your use of the Platform is subject to these Terms. We reserve all rights not expressly granted herein. Compliance with legal or governmental requests may require disclosure of account information or data. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
